Producatorul de material rulant Apcarom Buzau (simbol APC), care are o capitalizare de 91,8 milioane de lei, va fi delistat dupa 18 ani pe bursa, in urma preluarii intregului pachet de actiuni de grupul austriac Voestalpine. Membrii Consiliului ASF au aprobat retragerea de la tranzactionare a actiunilor emise de S.C. Voestalpine Vae Apcarom S.A. Buzau, avand in vedere finalizarea procedurii de retragere a actionarilor in conformitate cu art. 206 din Legea nr.297/2004, arata o nota a Autoritatii de Supraveghere Financiara (ASF). Grupul Voestalpine a intrat in actionariatul Apcarom in 1998, preluand 51% de actiuni, iar in acelasi an si-a majorat cota la 77,4% printr-un aport la capitalul social. Grupul si-a consolidat ulterior participatia in companie, atingand o cota de 92% in 2008 si 95% in 2014. Anul acesta, austriecii au facut o oferta de preluare in cadrul careia au mai reusit sa mai achizitioneze doar 0,68% din actiunile APC, astfel ca in aprilie au declansat procedura de retragere a actionarilor minoritari. Apcarom Buzau si-a incheiat ultimul an complet petrecut pe bursa cu o cifra de afaceri de 123,2 milioane de lei, in urcare cu 5,7% comparativ cu anul 2013, si profit net de 11,5 milioane de lei, mai mare de doua ori fata de rezultatul anterior. In afara de fabrica din Buzau, Voestalpine mai are facilitati de productie in Romania la Arad, Giurgiu si Magurele, judetul Ilfov. Grupul a avut venituri de 11,2 miliarde de euro in anul financiar 2014-2015 si valoreaza 6,8 miliarde de euro pe bursa de la Viena.

Producatorul de material rulant Voestalpine VAE Apcarom (simbol bursier APC) estimeaza pentru 2015 o crestere a cifrei de afaceri de 13%, la 139 de milioane de lei si investitii de peste 16 milioane de lei. Cu toate acestea, societatea se asteapta ca profitul sa scada in acest an cu aproximativ 6%, la 11 milioane de lei. Compania prognozeaza o crestere a cheltuielilor in acest an cu 1,8%, la 127 de milioane de lei, in timp ce veniturile sunt estimate sa creasca la 140 de milioane de lei, o majorare cu 1,2%. Actiunile companiei sunt in prezent suspendate de la tranzactionare, fiind in derulare operatiunea de retragere a actionarilor minoritari. La inceputul acestei luni, grupul austriac Voestalpine VAE a oferit actionarilor minoritari ai Apcarom Buzau un pret de 0,78 lei/titlu pentru preluarea restului de 4,14% din actiuni care nu ii sunt in proprietate. Actionarii au ales ieri noul consiliu de administratie al companiei care este format din Helmut Kreiter (presedinte), Johannes Oswald Rainer, Markus Maier, Vintila Mocanu si Marius Adascalitei.

Valoarea tranzactionata totala la Bursa de Valori Bucuresti s-a ridicat in aceasta saptamana la 152,16 milioane lei, din care valoarea tranzactiilor cu actiuni a insumat 146,9 milioane lei, potrivit unei analize Puls Capital. Tranzactiile cu actiuni s-au micsorat cu 17,20% fata de saptamana precedenta, iar cele mai importante schimburi s-au realizat pe titlurile Romgaz (SNG) in valoare de 38,3 milioane lei, Banca Transilvania (TLV) - 34,3 milioane lei, Electrica (EL) - 16,2 milioane lei, Fondul Proprietatea (FP) - 12,5 milioane lei si OMV Petrom (SNP) - 11,8 milioane lei.In saptamana analizata, tranzactiile cu produse structurate au cumulat 4,8 milioane lei, cele cu obligatiuni la 400.000 de lei, iar cele cu unitati de fond 40.000 de lei. In piata deal s-au realizat schimburi in valoare de 19,2 milioane lei.Potrivit analizei, indicii bursieri au inregistrat evolutii mixte, cuprinse intre -1,48% pe indicele BET-NG si 0,54% pe indicele ROTX.In saptamana analizata, 30 titluri au avut evolutii pozitive, 13 au fost stabile, iar 30 au inregistrat evolutii negative.Cele mai mari cresteri s-au inregistrat pe titlurile PetrolExportImport (PEI) - plus 39,49%, SIF Hoteluri (CAOR) - plus 8,06% si Apcarom (APC) - plus 7,95%., in timp ce scaderile cele mai semnificative au fost pe titlurile Prodplast (PPL) de minus 13,04%, Bermas (BRM) - minus 9,95% si Stirom (STIB) - minus 9,09%.'Inregistram in aceasta saptamana scaderi pentru majoritatea indicilor locali, indicii ROTX si BET-BK reusind sa incheie saptamana pe plus. Chiar daca primele patru zile au lasat impresia unei saptamani pozitive, sedinta de vineri a schimbat in buna masura aceasta impresie, indicii corectandu-se semnificativ, pe fondul scaderii majoritatii actiunilor. Remarcam pentru vineri o lichiditate foarte redusa ceea ce face ca ziua sa nu fie totusi foarte relevanta. Per ansamblu pare insa ca ramanem pe tendinta corectiva a pietei inceputa la finalul lunii februarie, saptamana trecuta fiind din acest punct de vedere o exceptie', se arata in analiza citata.

Grupul austriac voestalpine VAE va oferi un pret de 0,78 lei/titlu actionarilor minoritari pentru a prelua intreg pachetul de actiuni ale producatorului de material rulant Apcarom Buzau (simbol bursier APC), dupa ce a depasit cota de 95% dupa care oferta de preluare devine obligatorie. Pretul stabilit de evaluator si propus de actionarul majoritar este cu 8% mai mare decat ultimul pret al actiunilor APC in piata. Dupa ce a preluat doar 0,68% din capitalul companiei printr-o oferta publica derulata la inceputul acestui an, voestalpine mai are de achizitionat 4% din totalul actiunilor, pentru care va plati 3,8 milioane de lei. Oferta de retragere va incepe astazi, iar intermediarul ofertei este BCR.

Arestarea lui Dragos Bilteanu, fostul presedinte al SIF Banat Crisana (SIF1 care a promovat politica "zero dividend" , poate produce pe piata si ruptura cu strategia de dividende sarace sau deloc, a cel putin doua societati de investitii financiare (SIF-uri). SIF-urile ar putea da dividende suficient de consistente in 2015, pentru a avea randamente de pana la 9%, la preturile actiunilor din prezent, potrivit casei de brokeraj BlueRock. Alegerea a patru noi administratori ai SIF Banat Crisana )SIF1), pe locurile lasate libere de Dragos Bilteanu & Co., a fost amanata pentru astazi. Competitia se duce de fapt intre adeptii unor dividende cat mai mari si cei a unor politici mai echilibrate, dar oricum nu la fel de restrictive ca ale lui Bilteanu.Chiar daca asa numitii "oameni ai lui Bilteanu" ar mai face jocurile la SIF Munetnia (SIF4), analistii au devenit optimisti privind bogatia recoltei de dividende a SIF-urilor."Estimarea noastra este ca SIF Banat Crisana (SIF1) va relua platile de dividende, primele de dupa anu 2012, cand a repartiza astfel oprofgitul din 2011. Ne bazam pe marea probabiloitate ca noul consiliu de administratie va reprezenta mai bine interesele actionarilor", se spune intr-un raport al casei de brokeraj BlueRock Financial Services, care contine Topul dividendelor pe 2015.Un scenariu cu 50% din profit alocat dividendelor ar duce la un dividend brut de 1,1222 lei / actiune SIF1 si un randament al dividendului de 9%, dublu fata de rata medie a dobanzilor bancare la depozitele pe un an. "Si ne asteptam ca si SIF Muntenia (SIF4) sa urmeze scenariul cu un dividend brut de 0,1021 lei / actiune SIF4 si un impresionant randament de 12%", scriu analistii BlueRock.Mai departe, conducerea SIF Moldova (SIF2) a propus deja un dividend de 0,1012 de lei / actiune (6% randament), insotit insa de distributia cate unei actiuni noi gratuite, la fiecare alta deja detinuta. SIF2 ramane consecventa" politiucii sale de rezistenta a apetitului investitorilor de a stoarce de resurse SIF-urile chiar cu riscul ca acestea sa-si vanda tot ce au mai valoros din portofolii si de a deveni tinte nerelevante pe piata.La randul sau, SIF Oltenia (SIF5) ar putea da un dividend de 0,1347 lei / actiune, potrivit calculelor BlueRock (8% randament), facute cu o rata de alocare medie pe cele mai recentge trei distributii.Tot un randament de 8% ar inregistra si achizitia la preturile actuale a actiunilor SIF Transilvania (SIF3), de la care se asteapta reluarea platii de dividende de 90% din profit.Dupa randamentele estimate odata cu dividendele altor" peste 20 de actiuni, se remarca" societatile energetice, situatie descrisa deja" de ECONOMICA.NET, dar si" companii putin lichide si cu o prezenta cu atat mai spectaculoasa in Topul dividendelor pe 2015.Producatorul de echipamente de cale ferate VAE Apcarom (APC), egaleaza randamentul de 13% estimat pentru Actiunile Transelectrica (TEL), mult mai lichide. "Revelatia de la Dorohoi", fabrica de copnfectii Conted are randament de 10%, iar intre SIF5 si SIF 2 se strecoara Romcarbon Buzau (ROCE).
Bursa de Valori Bucuresti a publicat azi lista companiilor listate pe piata reglementata ale caror actiuni se vor tranzactiona pe baza modelului de licitatie, incepand din 23 februarie. Selectia actiunilor pentru modelul de licitatie a avut la baza criterii cantitative care tin de valoarea medie de tranzactionare, numarul mediu de tranzactii, precum si frecventa de tranzactionare. Modelul de tranzactionare prin licitiatie consta in sesiuni distincte pentru introducerea si administrarea ordinelor, fara inregistrarea tranzactiilor, fiecare dintre acestea fiind urmata de o sesiune in care algoritmul de fixing este aplicat si tranzactiile sunt inregistrate, daca sunt indeplinite conditiile de executie. Bursa vrea ca prin acest model de tranzactionare sa imbunatateasca situatia actiunilor cu lichiditate mai redusa, oferind premise pentru o metoda echilibrata de descoperire a pretului. O actiune se va putea tranzactiona numai in cadrul unui singur model: fie "tranzactionare continua" (modelul curent), fie modelul de licitatie. Perioada minima pentru care o actiune va fi tranzactionabila in cadrul unui model de tranzactionare este de trei luni. Lichiditatea redusa a actiunilor este una dintre marile probleme cu care se confrunta bursa de la Bucuresti. In cazul anumitor actiuni, asa cum sunt titlurile Carbochim, Retrasib, investitorii trebuie sa astepte si luni de zile pentru a gasi un cumparator pentru un pachet de actiuni in valoare mari mare de 100.000 de lei. In ianuarie, rulajele medii zilnice cu actiuni au fost de circa 35,6 milioane de lei, sustinute in principal de actiunile Fondului Proprietatea, BRD, Banca Transilvania, Romgaz.
Brokerii si investitorii vor pierde mai putin timp cu urmarirea actiunilor care inregistreaza rar tranzactii, iar pretul actiunilor putin lichide va fi mai stabil prin introducerea modelului de tranzactionare dupa modelul licitatiei, care va deveni functional pe bursa de la Bucuresti incepand din 23 februarie. Bursa de Valori Bucuresti a publicat ieri lista celor 24 de companii listate pe piata reglementata ale caror actiuni se vor tranzactiona pe baza modelului de licitatie. Cele 24 de companii au o capitalizare cumulata de peste un miliard de lei, dintre care cele mai mari sunt TMK-Artrom (ART), voestalpine VAE Apcarom (APC) si Artego Targu-Jiu (ARTE). Principalul avantaj adus de modelul de licitatie este faptul ca atunci cand un investitor vrea sa vanda sau sa cumpere o actiune la una dintre cele 24 de companii este faptul ca nu va mai trebui sa urmareasca piata intreaga zi pentru a vedea daca ordinul sau isi gaseste contrapartea de cumparare sau de vanzare.WikiZF: Profilul companiei Fondul Proprietatea Cele 24 de companii sunt putini lichide, in cazul unora dintre aceste se fac tranzactii doar o data la cateva zile, sau chiar o data la cateva saptamani. Astfel ca investitorul cand vrea sa vanda o actiune trebuie sa astepte. Nu de putine ori cand are loc o tranzactie pretul actiunilor putin lichide fluctueaza si cu 15% intr-o singura zi, desi tranzactia este de ordinul a doar cateva sute de lei.WikiZF: Profilul companiei Banca Transilvania Prin modelul de licitatie, pretul unei actiuni se stabileste prin metoda fixing-ului care va avea loc in doua momente ale zilei: la ora 12.15 (deschiderea sedintei) si la ora 17.50 (inchiderea sedintei). Atunci, ordinele aflate in piata sunt folosite pentru a fixa pretul actiunii. Daca nu sunt ordine de vanzare/cumparare pentru respectiva actiune si daca nu se poate face un matching intre pretul unui ordin de cumparare si de cel de vanzare, atunci nu se va putea fixa un pret. De exemplu, daca un investitor vrea sa vanda o actiune la un pret de 2,3 lei, iar un alt investitor vrea sa cumpere aceeasi actiune la un leu, atunci pretul nu se poate fixa. Daca apare un alt ordin de vanzare la 1,2 lei/titlu, atunci fixing-ul se face la 1,2 lei si acesta este pretul actiunii. "Brokerii si investitorii nu mai consuma atat de mult timp cu actiunile putin lichide prin tranzactiile dupa modelul licitatiei. Perioada minima pentru care o actiune va fi tranzactionabila in cadrul unui model de tranzactionare este de trei luni. Lichiditatea redusa a actiunilor este una dintre marile probleme cu care se confrunta bursa de la Bucuresti. In cazul anumitor actiuni, asa cum sunt titlurile Carbochim, Retrasib, investitorii trebuie sa astepte si luni de zile pentru a gasi un cumparator pentru un pachet de actiuni in valoare mari mare de 100.000 de lei. In ianuarie, rulajele medii zilnice cu actiuni au fost de circa 35,6 milioane de lei, sustinute in principal de actiunile Fondului Proprietatea, BRD, Banca Transilvania, Romgaz.
