JetBlue posts quarterly profit as travel demand helps cover jump in costs


JetBlue Airways eked out a $57 million profit for the third quarter as strong travel demand and higher fares helped the carrier cover more expensive fuel and other costs. The New York-based airline’s revenue rose 30% during the quarter from the same period last year to $2.56 billion, in line with analysts’ estimates. JetBlue’s operating margin narrowed to 5.4% from 9.4% a year earlier after expenses rose nearly 36% from the same period of 2021.&nbsp

ISS says new JetBlue offer more favorable for Spirit Airlines


&nbsp Institutional Shareholder Services (ISS) said JetBlue Airways Corp's (US.JBLU) latest offer to buy Spirit Airlines Inc (US.SAVE) is "more favorable" for the ultra-low-cost airline's shareholders, but maintained its support for the Frontier deal.&nbsp

&nbsp The influential proxy advisory firm in a report dated Monday said, with the shareholder meet to approve the deal set as early as Thursday, it was hesitant to change its earlier stand recommending them to vote for Frontier's offer.&nbsp

&nbsp Frontier's cash-and-stock offer was valued at $22.03 per share as of Monday's close, while JetBlue's offer, including a "ticking fee", was valued at $34.15 per share, a premium of 51% premium to Spirit's last close.

&nbsp From the offers made publicly available, the latest offer appears to be JetBlue’s (US.JBLU) third formal offer to acquire Spirit (US.SAVE) in the last couple of months. The latest is different in four material ways:&nbsp

  1. The Break-up fee increased to $350 Million payable to Spirit if the acquisition is blocked by regulators&nbsp

  3. A portion of that would be paid upfront to shareholders right away&nbsp
  4. JetBlue will make some route concessions to satisfy Spirit’s concern about regulatory approval, but will not abandon the Northeast Alliance (NEA) with American Airlines

&nbsp JetBlue continues to make the deal better for Spirit shareholders regardless of which way they vote because Frontier continues to match the deal. The merger with Frontier and Spirit will always make more sense so long as the NEA is in place and throwing more cash at the deal won’t sway Spirit’s board. Ultimately, the breakup fee is important, but not enough to overcome the likelihood (in the board’s mind) that JetBlue won’t be able to get the deal done. An extra $350 million is a great boost for shareholders, but not at the expense of being able to create market efficiencies only possible with Frontier.
